Terms of Use

Effective Date: 01 October 2022
Last Updated: 14 September 2026
Incorporated: Attachment A – Confidential and Sensitive Information Agreement (“Attachment A”)

These Terms of Use (“Terms”) govern access to and use of the Patriot Labs websites, member portal, Federal Help Desk, Member Service Boards, alerts, reports, advisory services, research products, communications, software features, on-demand services, PartnerNetwork activities, and other products, information, resources, and services made available through Patriot Labs (collectively, the “Services”).

By creating or maintaining a Patriot Labs account, participating in the PatriotLabs PartnerNetwork, accessing the member portal, purchasing or requesting a Service, submitting information to Patriot Labs, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Services on behalf of a company, institution, government contractor, academic institution, nonprofit organization, or other organization, you represent that you are authorized to accept these Terms on behalf of that organization. In these Terms, “Member,” “you,” and “your” include both the individual user and the organization represented by that user, as applicable.

“Patriot Labs,” “we,” “us,” and “our” mean the Patriot Labs business initiative and outreach program exclusively operated by Veteran Force Industries, LLC (“VFI”), together with VFI acting in its capacity as PartnerNetwork Administrative Organization, and, where appropriate to the context, its officers, directors, employees, advisors, contractors, agents, affiliates, and authorized service providers.

PARTNERNETWORK ADMINISTRATIVE ORGANIZATION

Veteran Force Industries, LLC (“VFI”) serves as the PartnerNetwork Administrative Organization (“PAO”) and exclusive operator of Patriot Labs. Patriot Labs includes the PatriotLabs PartnerNetwork and related programs, platforms, activities, and Services administered under the Patriot Labs name. In its capacity as PAO, VFI is authorized to administer, operate, manage, and support Patriot Labs, the PatriotLabs PartnerNetwork, its membership programs, and related Services. Patriot Labs is a business initiative and outreach program exclusively operated by VFI.

The PAO is responsible for supporting the day-to-day operations of Patriot Labs and the PatriotLabs PartnerNetwork, including, inter alia, the execution and administration of contractual agreements; general administrative functions; Member support services; billing, payment processing, financial administration, and financial management; program management and oversight; coordination of membership and service activities; administration of technology platforms and operational systems; communications with Members, partners, contractors, service providers, Government organizations, and other stakeholders; and such other responsibilities as may be reasonably necessary or appropriate to administer, operate, support, or advance Patriot Labs and the PatriotLabs PartnerNetwork.

Unless expressly stated otherwise in a separate written agreement, Veteran Force Industries, LLC, acting as the PAO and exclusive operator of Patriot Labs, may enter into agreements, issue invoices, receive and process payments, administer memberships, provide or coordinate Member Services, engage employees, contractors, advisors, vendors, and service providers, and take other administrative or operational actions necessary to operate Patriot Labs and the PatriotLabs PartnerNetwork.

Patriot Labs is a business initiative and outreach program of Veteran Force Industries, LLC and is not, by use of the Patriot Labs name alone, intended to constitute a separate legal entity from VFI. Where an obligation under these Terms is undertaken by Patriot Labs, such obligation is administered through VFI as the PAO and exclusive operator unless expressly stated otherwise in writing.

Notifications to the PAO regarding Member withdrawal, disputes, formal notices, or other matters requiring notice under these Notices may be sent to: notices@patriotlabs.us

Nothing in these Terms shall be construed to create a partnership, joint venture, fiduciary relationship, agency relationship between Members, or ownership interest in Patriot Labs or the PatriotLabs PartnerNetwork by virtue of membership or participation in the Services.

PURPOSE OF THE SERVICES

The Government has expressed an interest in collaboration among industry, academia, and other organizations to facilitate innovative research, development, demonstration, adaptation, and deployment of new and emerging technologies. In support of U.S. Department of Defense (“DoD”) Components, non-defense agencies of the U.S. Government, state and local governments, and other mission-oriented organizations, Patriot Labs aims to support defense, critical infrastructure, and other high-priority operational domains. Principal objectives may include:

  1. exploration of private-sector technology opportunities;

  2. innovation research and development;

  3. prototyping and piloting new and next-generation capabilities;

  4. technology transfer; and

  5. solution deployment and transition into follow-on production or operational environments.

Patriot Labs primarily supports technology and capability focus areas identified as high-priority or mission-essential. These areas may change from time to time in order to reflect Government priorities, emerging technologies, operational needs, and innovation initiatives. Current focus areas may be published on the Patriot Labs website.

Patriot Labs Services are intended to support Members and Government stakeholders in efforts to conduct innovative research, development, adaptation, evaluation, demonstration, and deployment of technologies and capabilities relevant to Government objectives.

Patriot Labs provides Members with information, research, advisory support, collaboration resources, federal-market intelligence, business-development support, innovation ecosystem services, and related capabilities intended to assist Members in understanding and pursuing opportunities within Government and commercial markets. Patriot Labs may, among other things, provide information concerning Government programs, solicitations, organizations, personnel, funding, acquisition activity, industry participants, teaming opportunities, events, policies, technologies, and market developments. All Services are provided for informational, planning, research, networking, collaboration, and business-support purposes only.

Members may wish to engage in the delivery of technologies and capabilities for purposes of supporting National Security, the defense mission of the United States, critical infrastructure, and the capabilities of the U.S. Government and its departments, components, and agencies (collectively referred to herein as “Government”).

Member activities may include, but are not limited to, participating in programs and program funding for research and development, adaptation of commercial capabilities, demonstration of existing solutions, prototyping, piloting, technology transfer, and transition of mission-critical technologies.

REQUIREMENTS FOR MEMBERSHIP

Patriot Labs and the PAO may establish reasonable eligibility, verification, administrative, or participation requirements for particular membership levels or Services. The requirements for Patriot Labs membership may vary according to membership type. For Industry Membership Levels, including both Small Business and Large Business membership levels:

  1. membership is entity-specific and restricted to the CAGE Code of the applying entity. A separate affiliate, division, subsidiary, or other organizational entity operating under a different CAGE Code must separately qualify and enroll under the applicable CAGE Code;

  2. the Member has technologies, capabilities, products, services, expertise, or other resources supportive of PartnerNetwork objectives or capability focus areas;

  3. the Member is willing, where appropriate, to make relevant technologies or capabilities available for consideration, demonstrations, assessments, collaboration activities, or the formulation of potential solution sets for Government customers;

  4. the Member is not suspended, debarred, or otherwise prohibited from contracting with or receiving funds from the Government;

  5. the Member is willing to provide appropriate information concerning its technologies, capabilities, products, services, registrations, certifications, and solutions that may be relevant to PartnerNetwork activities; and

  6. the Member will pay applicable annual administrative dues or other fees established for the applicable membership level.

For non-Industry membership types, the foregoing requirements apply where applicable to the nature of the Member and the applicable membership level. A CAGE Code shall not be required for a membership category for which a CAGE Code is not reasonably applicable unless expressly stated as a condition of that membership level.

NO GUARANTEE OF GOVERNMENT OPPORTUNITIES, AWARDS, OR RESULTS

Government requirements, acquisition strategies, funding decisions, personnel assignments, policies, programs, schedules, and procurement actions may change at any time and without notice. Members remain solely responsible for evaluating opportunities and determining whether, when, and how to pursue them. Patriot Labs does not guarantee that use of the Services will result in:

  1. identification of any particular opportunity;

  2. contact with any particular Government official, organization, prime contractor, Member, or other stakeholder;

  3. acceptance of a product, technology, capability, proposal, or recommendation;

  4. participation in a Government program;

  5. formation of a teaming, partnering, or business relationship;

  6. receipt of funding;

  7. award of any contract, grant, agreement, subcontract, transaction, or other business opportunity;

  8. favorable treatment by any Government entity or private organization; or

  9. any particular financial, operational, competitive, contracting, or business result.

INDEPENDENCE FROM GOVERNMENT DECISION-MAKING

Unless expressly stated otherwise in writing, Patriot Labs does not make procurement, source-selection, funding, contracting, regulatory, or other governmental decisions on behalf of any federal, state, or local Government entity. No Patriot Labs communication, Service, report, recommendation, introduction, alert, analysis, or other activity should be interpreted as an endorsement, commitment, authorization, solicitation, representation, or decision by any Government agency or Government official. Members are responsible for independently confirming official requirements, deadlines, eligibility conditions, procurement information, funding availability, solicitation information, and agency guidance through appropriate Government sources.

MEMBER RESPONSIBILITY FOR INFORMATION AND DECISIONS

The Member is solely responsible for all business, technical, legal, regulatory, contracting, financial, security, export-control, intellectual-property, and other decisions made based upon or in connection with the Services. Patriot Labs does not provide legal, accounting, tax, investment, cybersecurity certification, procurement-law, export-control, or other licensed professional advice unless expressly agreed to in a separate written agreement. Members should consult appropriately qualified professionals regarding matters requiring professional advice.

INFORMATION ACCURACY AND TIMELINESS

Patriot Labs endeavors to provide useful and relevant information but does not warrant that information obtained through the Services is complete, current, error-free, or suitable for any particular purpose. Information may be obtained from Government publications, databases, public records, commercial sources, third-party websites, news sources, artificial-intelligence systems, Member submissions, research tools, contractors, service providers, and other sources that Patriot Labs does not control. Patriot Labs has no obligation to independently verify every item of third-party information. The Member is responsible for independently verifying information before relying upon it for a proposal, contract, investment, expenditure, compliance decision, communication, submission, or other material action.

ARTIFICIAL INTELLIGENCE AND AUTOMATED TOOLS

Patriot Labs may use artificial intelligence, machine learning, automation, search technologies, data-processing systems, software applications, and third-party technology platforms in researching, preparing, processing, analyzing, reviewing, or delivering Services. AI-assisted outputs may contain errors, omissions, outdated information, inaccurate inferences, incomplete results, or other limitations. Patriot Labs may conduct human review of certain outputs but does not warrant that every AI-assisted output will be independently verified. The Member is responsible for reviewing all reports, recommendations, research, contact information, summaries, analyses, and other deliverables before relying upon or distributing them. Use of AI or automated systems by Patriot Labs does not create any additional warranty, fiduciary obligation, or standard of care.

MEMBER-SUBMITTED INFORMATION

Members may provide Patriot Labs with information including company profiles, capability descriptions, product information, technical materials, personnel information, contact information, Government registrations, certifications, target agencies, capability focus areas, service requests, documents, communications, and other information (“Member Information”). The Member represents and warrants that:

  1. it has the legal right and authority to provide the Member Information;

  2. the information does not knowingly infringe the rights of another party;

  3. submission of the information does not violate any contract, law, regulation, nondisclosure obligation, security requirement, intellectual-property right, or other legal obligation; and

  4. information provided to Patriot Labs is materially accurate to the best of the Member’s knowledge.

Patriot Labs is entitled to rely upon information provided by the Member without independently verifying its accuracy.

DATA USE AUTHORIZATION

The Member authorizes Patriot Labs and VFI, acting as PAO, to collect, store, organize, analyze, process, reproduce, transmit, and otherwise use Member Information as reasonably necessary to:

  1. establish and administer the Member’s account;

  2. administer PartnerNetwork membership;

  3. provide membership benefits and requested Services;

  4. match Member capabilities with relevant programs, opportunities, organizations, requirements, technologies, Members, partners, or other ecosystem participants;

  5. prepare alerts, reports, research, analyses, recommendations, assessments, and other deliverables;

  6. operate the Federal Help Desk and Member Service Boards;

  7. communicate with the Member;

  8. respond to Member requests;

  9. improve Patriot Labs systems, processes, research methodologies, programs, and Services;

  10. maintain operational, security, audit, financial, and transaction records;

  11. prevent misuse, fraud, unauthorized access, or other improper activity;

  12. satisfy legal, contractual, financial, and regulatory obligations; and

  13. perform other activities reasonably necessary to administer, support, or operate Patriot Labs, the PatriotLabs PartnerNetwork, and related Services.

Patriot Labs and the PAO may use service providers, contractors, technology vendors, hosting providers, analytics providers, communications platforms, artificial-intelligence providers, payment processors, consultants, and other third parties to process Member Information when reasonably necessary to operate or provide the Services. The authorization provided by this section is subject to the protections applicable to duly designated Confidential Information under Attachment A – Confidential and Sensitive Information Agreement (“Attachment A”).

AGGREGATED AND DE-IDENTIFIED INFORMATION

To the extent permitted by applicable law and subject to Attachment A, Patriot Labs may create and use aggregated, statistical, anonymized, or de-identified information derived from Member Information or use of the Services. Such information may be used for research, benchmarking, trend analysis, service improvement, ecosystem analysis, market intelligence, internal business purposes, and development of new Services, provided that such information does not reasonably identify the Member, an individual, or the source of protected Confidential Information.

CONFIDENTIAL AND SENSITIVE INFORMATION

These Terms, standing alone, do not establish a blanket nondisclosure agreement or cause every communication, submission, conversation, document, or other exchange to be treated as confidential. Membership in Patriot Labs does not, by itself, create an attorney-client relationship, fiduciary relationship, privileged relationship, or general nondisclosure obligation covering all information exchanged in connection with Patriot Labs or PartnerNetwork activities. Notwithstanding the foregoing, information that is expressly marked, identified, designated, or otherwise communicated as confidential, proprietary, sensitive, competition-sensitive, or subject to restricted disclosure shall be protected in accordance with Attachment A – Confidential and Sensitive Information Agreement, which is incorporated into and forms part of these Terms. Attachment A applies to qualifying information exchanged between or among Parties subject to the Attachment, including qualifying information exchanged:

  1. between a Member and Patriot Labs or VFI acting as PAO;

  2. between Members;

  3. among multiple Members;

  4. between Patriot Labs or the PAO and another Party subject to Attachment A; or

  5. among other Parties that have expressly agreed to be bound by Attachment A.

Except for information protected under Attachment A or another separate written confidentiality agreement, Members should not assume that information submitted through ordinary website forms, email, support tickets, Service Boards, meetings, or other standard communication channels is subject to special confidentiality restrictions beyond these Terms, the applicable Privacy Policy, ordinary data-handling practices, and applicable law. Members and other Parties should expressly identify information for which confidential or sensitive treatment is requested.

PROHIBITED SENSITIVE INFORMATION

The protections provided under Attachment A do not constitute authorization for Patriot Labs or the PAO to receive information requiring specialized Government, regulatory, contractual, or security controls. Unless Patriot Labs or VFI has expressly authorized such transmission in writing and established an approved method for handling the information, Members must not submit through Patriot Labs’ ordinary systems:

  1. classified information;

  2. information restricted under national-security laws;

  3. export-controlled technical data requiring controlled handling;

  4. Controlled Unclassified Information (“CUI”) requiring a specified Government-approved safeguarding environment;

  5. International Traffic in Arms Regulations (“ITAR”) controlled technical data;

  6. information subject to contractual or regulatory safeguarding requirements that Patriot Labs has not expressly agreed to satisfy;

  7. passwords, private cryptographic keys, authentication secrets, or similar security credentials; or

  8. other information requiring specialized security controls that Patriot Labs has not expressly agreed in writing to provide.

If a Service may require handling such information, the Member must obtain written authorization and approved handling instructions from Patriot Labs or the PAO before transmitting the information.

PRIVACY AND PERSONAL INFORMATION

Patriot Labs may process personal information associated with Member accounts and Service requests in accordance with these Terms, its applicable Privacy Policy, Attachment A where applicable, and applicable law. Members are responsible for ensuring that they have an appropriate legal basis or authorization before providing personal information concerning employees, customers, Government personnel, business contacts, or other third parties. Where applicable law grants individuals rights concerning access, correction, deletion, or other processing of personal information, Patriot Labs will address valid requests as required by applicable law.

MEMBER ACCOUNTS AND SECURITY

Accounts and membership privileges may not be sold, transferred, assigned, shared with unauthorized persons, or used on behalf of unaffiliated organizations without Patriot Labs’ written authorization. Members are responsible for:

  1. maintaining accurate account information;

  2. protecting usernames, passwords, and other credentials;

  3. restricting access to accounts to authorized personnel;

  4. promptly notifying Patriot Labs of suspected unauthorized account access; and

  5. all activity conducted through their accounts except to the extent otherwise required by applicable law.

ACCEPTABLE USE

Patriot Labs may suspend, restrict, or terminate access where it reasonably believes these Terms have been violated. Members may not use the Services to:

  1. violate any applicable law or regulation;

  2. interfere with or disrupt Patriot Labs systems;

  3. attempt to obtain unauthorized access to accounts, systems, databases, or information;

  4. introduce malicious software or harmful code;

  5. scrape, crawl, harvest, or systematically extract data except with written authorization;

  6. impersonate another person or organization;

  7. submit knowingly false or misleading information;

  8. infringe intellectual-property, privacy, confidentiality, contractual, or other legal rights;

  9. redistribute restricted Member content without authorization;

  10. use information obtained through Patriot Labs for unlawful harassment, discrimination, fraud, or other unlawful conduct;

  11. misrepresent Patriot Labs’ relationship with a Government agency or other organization; or

  12. use the Patriot Labs name, VFI name, trademarks, reports, Services, or other materials in a manner that falsely suggests endorsement, authorization, certification, or Government approval.

The Services may contain links to or integrate with third-party websites, databases, Government systems, software products, payment processors, communications services, research platforms, artificial-intelligence systems, or other resources. Patriot Labs does not control and is not responsible for the availability, security, accuracy, policies, content, products, practices, or performance of third-party services. Use of third-party systems may be subject to separate terms and privacy policies established by those providers. Patriot Labs and VFI shall not be responsible for losses arising from the failure, interruption, compromise, modification, suspension, or unavailability of a third-party service.

SERVICE REQUESTS AND DELIVERY SCHEDULES

Patriot Labs may establish expected delivery schedules, service levels, scopes, milestones, and other conditions for individual Services. Any estimated completion date is subject to:

  1. timely Member cooperation;

  2. availability of required information;

  3. third-party and Government-source availability;

  4. technical availability;

  5. complexity of the request;

  6. events beyond Patriot Labs’ reasonable control; and

  7. service-specific terms displayed at the time of purchase or request.

The Member must provide reasonably requested information necessary for Patriot Labs to perform the Service. Delays caused by incomplete Member information, failure to respond, scope changes, additional requirements, or circumstances outside Patriot Labs’ reasonable control may extend delivery schedules.

FEES, PAYMENTS, AND REFUNDS

Membership in the PatriotLabs PartnerNetwork becomes effective in accordance with the requirements established for the applicable membership level, including payment of applicable initial or recurring dues where required. Members agree to pay annual dues or other membership fees in the amount posted by Patriot Labs or otherwise communicated for the applicable membership level. Members who have not paid applicable Member dues within thirty (30) days following membership expiration or renewal shall not be considered “Members in good standing” for purposes of general PartnerNetwork participation until the delinquency is cured. The PartnerNetwork Administrative Organization may adjust membership levels, dues, fee structures, or related administrative requirements from time to time in order to sustain the PartnerNetwork’s operations and mission.

Certain on-demand or pay-per-request Services require payment of separate fees. By purchasing a paid Service, the Member authorizes Patriot Labs, VFI, and their authorized payment processor to charge the displayed amount using the selected payment method. Except where otherwise required by law or expressly provided by a service-specific refund policy, fees are nonrefundable after performance of the applicable Service has begun.

Where Patriot Labs publishes a specific refund policy for an on-demand Service, that policy becomes part of these Terms for that transaction. If Patriot Labs states that a Member will automatically receive a refund when specified service-initiation or delivery requirements are not met, such refund will ordinarily be credited to the original method of payment.

INTELLECTUAL PROPERTY

VFI, Patriot Labs, and their applicable licensors retain all right, title, and interest in their pre-existing and independently developed: software; databases; research methods; analytical methods; templates; report formats; processes; models; workflows; graphics; branding; documentation; website content; and other intellectual property.

Unless otherwise agreed in writing, the Member retains ownership of Member Information supplied by the Member. Upon full payment for a paid Service, the Member receives a nonexclusive, nontransferable license to use the resulting deliverable for the Member’s own legitimate internal business purposes unless different rights are expressly provided in writing.

Unless expressly authorized in writing, Members may not resell, commercially redistribute, republish, sublicense, or create a competing commercial information product from Patriot Labs proprietary materials. Nothing in these Terms transfers ownership of VFI or Patriot Labs intellectual property to a Member. Nothing in this section alters ownership rights applicable to Confidential Information under Attachment A.

FEEDBACK

If a Member voluntarily provides suggestions, recommendations, enhancement requests, ideas, or other feedback regarding Patriot Labs or the Services, VFI and Patriot Labs may use that feedback without restriction or compensation, provided that doing so does not require unauthorized use or disclosure of Confidential Information protected under Attachment A or another written agreement.

NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL INFORMATION, REPORTS, RESEARCH, RECOMMENDATIONS, DATA, CONTENT, SOFTWARE, DELIVERABLES, AND OTHER MATERIALS PROVIDED THROUGH PATRIOT LABS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VFI AND PATRIOT LABS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND RESULTS.

PATRIOT LABS DOES NOT WARRANT THAT:

  1. THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;

  2. ALL INFORMATION WILL BE ACCURATE OR CURRENT;

  3. ANY PARTICULAR OPPORTUNITY WILL REMAIN AVAILABLE;

  4. ANY IDENTIFIED CONTACT OR ORGANIZATION WILL RESPOND;

  5. ANY RECOMMENDATION WILL PRODUCE A PARTICULAR RESULT;

  6. ANY GOVERNMENT OR PRIVATE ORGANIZATION WILL TAKE A PARTICULAR ACTION; OR

  7. USE OF THE SERVICES WILL RESULT IN A CONTRACT, AWARD, FUNDING, INTRODUCTION, BUSINESS RELATIONSHIP, OR OTHER BENEFIT.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VETERAN FORCE INDUSTRIES, LLC, PATRIOT LABS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, ADVISORS, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR SIMILAR DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, CONTRACTS, DATA, GOODWILL, ANTICIPATED SAVINGS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Without limiting the foregoing, VFI and Patriot Labs shall not be liable for claims or losses resulting from:

  1. Member-provided information;

  2. decisions made by the Member;

  3. reliance on information obtained through the Services;

  4. Government actions or decisions;

  5. changes to Government programs, personnel, requirements, funding, solicitations, policies, or schedules;

  6. failure to obtain a Government award or other business opportunity;

  7. third-party services or systems;

  8. inaccurate, incomplete, or outdated third-party information;

  9. communications, negotiations, or relationships between Members or other third parties;

  10. unauthorized account activity caused by the Member’s failure to safeguard credentials;

  11. delays or interruptions outside Patriot Labs’ reasonable control; or

  12. use of Services in violation of these Terms

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF VFI AND PATRIOT LABS ARISING OUT OF OR RELATING TO A PARTICULAR PAID SERVICE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE MEMBER FOR THAT SERVICE.

For claims not associated with a specific paid Service, the total aggregate liability of VFI and Patriot Labs shall not exceed the amount of membership fees actually paid by the Member during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

ASSUMPTION OF BUSINESS RISK

The Member acknowledges that Government contracting, technology commercialization, business development, research and development, innovation activities, and market participation inherently involve uncertainty and commercial risk. The Member voluntarily assumes the risks associated with its business decisions and use of information obtained through the Services.

INDEMNIFICATION

To the maximum extent permitted by law, the Member agrees to defend, indemnify, and hold harmless Veteran Force Industries, LLC, Patriot Labs, and their respective officers, directors, employees, advisors, contractors, agents, affiliates, and service providers from and against third-party claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from or relating to:

  1. the Member’s violation of these Terms;

  2. Member Information supplied to Patriot Labs;

  3. infringement or alleged infringement of a third party’s intellectual-property, privacy, confidentiality, contractual, or other rights resulting from Member-supplied information or instructions;

  4. representations made by the Member to Government agencies, customers, partners, subcontractors, Members, or other third parties;

  5. violation of applicable laws, regulations, export-control requirements, procurement rules, confidentiality obligations, or contractual obligations by the Member;

  6. negligent, fraudulent, unlawful, or wrongful conduct of the Member; or unlawful or unauthorized use of the Services.

VFI and Patriot Labs reserve the right to assume control of the defense of any matter subject to indemnification, at the Member’s expense, and the Member agrees to reasonably cooperate with such defense.

MEMBER-TO-MEMBER AND THIRD-PARTY RELATIONSHIPS

Patriot Labs may facilitate introductions, identify potential partners, provide contact information, create collaboration opportunities, or enable interaction among Members, Government stakeholders, and other organizations. Patriot Labs does not guarantee, endorse, supervise, certify, or assume responsibility for any Member, supplier, contractor, teaming partner, Government official, advisor, or other third party. Members are responsible for conducting their own due diligence before entering into any agreement, transaction, teaming arrangement, subcontract, partnership, employment relationship, investment, or other business relationship. Neither VFI nor Patriot Labs is a party to agreements entered into between Members and third parties unless expressly identified as a party in a separate written agreement. The confidentiality obligations of Parties subject to Attachment A remain applicable to qualifying Confidential Information notwithstanding the independent nature of Member-to-Member or third-party relationships.

SUSPENSION AND TERMINATION

Patriot Labs or the PAO may suspend, restrict, or terminate access to the Services where reasonably necessary to:

  1. protect the security or integrity of systems;

  2. investigate suspected misuse;

  3. address nonpayment;

  4. enforce these Terms;

  5. comply with applicable law;

  6. protect VFI, Patriot Labs, Members, or third parties; or

  7. modify or discontinue a Service or membership program.

Termination of membership or account access does not eliminate obligations that accrued before termination. Provisions concerning intellectual property, Confidential Information, data rights, disclaimers, limitation of liability, indemnification, dispute resolution, and other provisions that by their nature should survive shall remain effective after termination.

SERVICE MODIFICATIONS

Patriot Labs may add, modify, suspend, replace, or discontinue features, programs, membership benefits, or Services from time to time. Patriot Labs does not guarantee continued availability of any specific website feature, database, report format, research source, technology provider, Service, membership benefit, program, or capability focus area unless separately agreed in writing.

GENERAL CLAUSES

FORCE MAJEURE. VFI and Patriot Labs shall not be responsible for delay or failure to perform resulting from circumstances beyond their reasonable control, including acts of Government, changes in law, natural disasters, severe weather, war, terrorism, civil disorder, labor disruptions, utility failures, telecommunications failures, cybersecurity incidents, third-party service interruptions, cloud-service outages, Government-system outages, public-health emergencies, or similar events.

ELECTRONIC COMMUNICATIONS. The Member consents to receiving membership, transactional, administrative, support, service-related, and other permitted communications electronically. Electronic communications may include email, website notices, member portal messages, support tickets, Service Board updates, and other electronic methods. The Member is responsible for maintaining a current email address and appropriate contact information.

ELECTRONIC ACCEPTANCE. The Member agrees that electronic actions demonstrating assent—including selecting an acceptance checkbox, clicking an acceptance or purchase button, submitting a registration or Service request, renewing membership, or continuing to use the Services after being presented with these Terms—may constitute acceptance of these Terms to the extent permitted by applicable law. Patriot Labs and the PAO may retain electronic records documenting acceptance.

CHANGES TO THESE TERMS. Patriot Labs may revise these Terms from time to time. Material revisions may be communicated through the member portal, by email, during login, during checkout, or by another reasonable method. Unless applicable law requires otherwise, continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms. Where Patriot Labs determines that affirmative consent is appropriate for a material change, continued access may be conditioned upon acceptance of the updated Terms.

GOVERNING LAW AND VENUE. These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Subject to the Informal Dispute Resolution provisions of these Terms and except where applicable law requires otherwise, the parties consent to the exclusive jurisdiction and venue of the state courts having jurisdiction in Volusia County, Florida, and, where federal subject-matter jurisdiction exists, the United States District Court for the Middle District of Florida, Orlando Division. Each party waives, to the maximum extent permitted by law, any objection based upon improper venue or inconvenient forum with respect to proceedings brought in the foregoing courts.

INFORMAL DISPUTE RESOLUTION. Before filing a lawsuit concerning these Terms or the Services, the Member and VFI, acting through Patriot Labs or the PAO as applicable, agree to make reasonable good-faith efforts to resolve the dispute informally. The party raising a dispute should provide written notice describing the nature of the dispute and requested resolution. The parties will have thirty (30) days from receipt of the notice to attempt to resolve the matter before initiating litigation, except where immediate injunctive or equitable relief is reasonably necessary, including with respect to unauthorized use or disclosure of Confidential Information.

NO WAIVER. Failure by VFI or Patriot Labs to enforce any provision of these Terms does not constitute a waiver of that provision or any other right. Any waiver must be expressly stated in writing by an authorized representative of VFI or the PAO.

SEVERABILITY. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent legally permissible, and the remaining provisions shall remain in full force and effect.

ASSIGNMENT. The Member may not assign or transfer these Terms, membership rights, or Service rights without prior written consent from the PAO. VFI may assign these Terms in connection with a merger, reorganization, transfer of operations, sale of assets, corporate restructuring, or similar transaction.

ENTIRE AGREEMENT AND ORDER OF PRECEDENCE. These Terms, together with Attachment A, the applicable Privacy Policy, membership-level terms, Service descriptions, checkout terms, and any separate written agreement expressly applicable to a Service, constitute the terms governing the Member’s use of Patriot Labs and the Services. If there is a direct conflict between these Terms and a separately executed written agreement between VFI, Patriot Labs, or the PAO and the Member, the separately executed written agreement controls with respect to the subject matter of that agreement. If a specific paid Service contains additional written terms or a specific refund commitment, those service-specific provisions control solely with respect to that Service.

With respect to qualifying Confidential Information, Attachment A – Confidential and Sensitive Information Agreement controls over any inconsistent general provision of these Terms solely to the extent necessary to give effect to the confidentiality, permitted-use, and disclosure obligations established by Attachment A.

INCORPORATION OF ATTACHMENT. Attachment A – Confidential and Sensitive Information Agreement is incorporated into and forms part of these Terms. Acceptance of these Terms constitutes acceptance of Attachment A by the Member and VFI with respect to qualifying exchanges to which each is a Party.
